Terms of Service

1. The service

Kelpi helps you create advertising creative and strategy and, when you connect an advertising account, create, launch, manage, and report on campaigns on platforms such as Meta (Facebook and Instagram). You decide what to launch. Kelpi only spends budget or launches campaigns when you direct it to.

2. Eligibility and accounts

You must be at least 18 years old and able to form a binding contract to use Kelpi. You are responsible for the information in your account, for keeping your login secure, and for everything that happens under your account. Provide accurate information and keep it up to date.

3. Your responsibilities

You are responsible for the ads you create and run through Kelpi, including their content, claims, targeting, and compliance with all applicable laws and with the policies of the platforms you advertise on. You confirm that you have the rights to any materials you provide, such as logos, images, text, and product information, and that they do not infringe anyone's rights.

4. Third-party platforms and account status

Kelpi works alongside third-party platforms such as Meta. Your use of those platforms is governed by their own terms and advertising policies, and your relationship with them is separate from your relationship with Kelpi.

Account suspensions and bans are platform decisions and outside our control. Platforms may, at their sole discretion, review, restrict, suspend, disable, or permanently ban your ad account, page, profile, or other assets, with or without notice, based on their own policies. Kelpi does not control these decisions and is not responsible or liable for them, including any resulting loss of access, budget, data, reach, or revenue. You are responsible for complying with each platform’s policies, and you accept that the risk of a suspension or ban rests with you.

5. No guarantee of results

Advertising performance depends on many factors outside our control, including your product, pricing, market, budget, audience, and the platforms themselves.

Kelpi does not promise or guarantee any particular results, including any level of reach, impressions, clicks, leads, sales, revenue, return on ad spend, or return on investment. Any examples, estimates, or projections are illustrative only and are not a promise of future performance. You are responsible for the advertising budget you choose to spend, and amounts spent on the platforms are not refundable by Kelpi.

6. Fees and billing

Kelpi is offered on a subscription basis. Pricing is shown at sign-up (currently $99 per month, with a 7-day free trial and no card required to start). By subscribing, you authorize us and our payment provider to charge your payment method on a recurring basis until you cancel. You can cancel anytime, and cancellation stops future charges; fees already paid are non-refundable except where required by law. Advertising spend on connected platforms is billed by those platforms separately and is not included in your Kelpi subscription. We may change pricing with notice, and changes apply to future billing periods.

7. Acceptable use

You agree not to use Kelpi to break the law; to create deceptive, fraudulent, infringing, hateful, or otherwise prohibited advertising; to bypass platform policies; to interfere with or attempt to gain unauthorized access to the service; or to misuse the service in any way. We may suspend or end access for violations.

8. Intellectual property

Kelpi and its software, design, and content are owned by us and protected by law. We grant you a limited, non-exclusive, non-transferable right to use the service while your account is in good standing. You keep ownership of the materials you provide and the ads created for your business, and you grant us the rights needed to operate the service, generate your ads, and run your campaigns.

9. AI-generated content

Kelpi uses artificial intelligence to help produce ad creative and strategy. AI output can be inaccurate or unsuitable, and similar output may be generated for others. You are responsible for reviewing everything before it is published or launched, and you decide what ships.

10. Third-party services

The service relies on third-party providers, such as advertising platforms, payment processing, hosting, and AI providers. We are not responsible for third-party services, and your use of them may be subject to their own terms.

11. Disclaimers

Kelpi is provided "as is" and "as available," without warranties of any kind, whether express or implied, including fitness for a particular purpose, merchantability, and non-infringement. We do not warrant that the service will be uninterrupted, error-free, or secure, or that it will produce any particular outcome.

12. Limitation of liability

To the fullest extent permitted by law, Kelpi and its team will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenue, data, goodwill, advertising spend, or business, arising from or related to your use of the service, including any platform suspension or ban or any advertising results. To the fullest extent permitted by law, our total liability for any claim relating to the service is limited to the amount you paid us for the service in the three months before the event giving rise to the claim.

13. Indemnification

You agree to defend, indemnify, and hold harmless Kelpi and its team from any claims, damages, losses, and expenses, including reasonable legal fees, arising from your use of the service, your ads, your materials, or your violation of these Terms or of any law or platform policy.

14. Termination

You can stop using Kelpi and cancel anytime. We may suspend or end your access if you violate these Terms or to protect the service or others. On termination, your right to use the service ends, and the sections that by their nature should survive will survive.

15. Changes to these Terms

We may update these Terms from time to time. When we make material changes, we will revise the date above and may notify you in the product or by email. Continued use after changes take effect means you accept the updated Terms.

16. Governing law

These Terms are governed by and construed under the laws of the State of Delaware, United States, without regard to its conflict of laws principles. You agree that any dispute arising out of or relating to these Terms or the service will be subject to the exclusive jurisdiction of the state and federal courts located in the State of Delaware, and you consent to personal jurisdiction and venue in those courts.
